Terms of service
The obligations both sides take on when you use Loqui.

1. Agreement to terms
These Terms of Service (“Terms”) form a binding agreement between you (“you” or “User”) and Loqui (“Loqui,” “we,” “us,” “our”) governing your use of the Loqui mobile application and the marketing website at useloqui.com (together, the “Service”). By creating an account, downloading the app, or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Loqui is a mobile application that records conversations on your phone, sends the audio to a third-party transcription provider, generates a transcript with summary and action items, and writes the result to a cloud storage account you control (Google Drive or iCloud). The audio file is deleted after transcription. Loqui’s servers do not store the contents of your transcripts. See our privacy policy for more detail.
3. Restricted use — no Protected Health Information
Loqui is not HIPAA-compliant. You may not use the Service to record, process, or store Protected Health Information (“PHI”) as defined by the U.S. Health Insurance Portability and Accountability Act of 1996, or any equivalent health-data category under another jurisdiction’s law.
This includes, without limitation:
- Conversations between healthcare providers and patients.
- Therapy sessions, psychiatric consultations, or counseling visits.
- Medical interviews, telehealth sessions, or any other patient encounter.
- Any audio that contains identifiable health information about an individual.
If you use Loqui in violation of this restriction, you do so at your own risk. We have not entered into a Business Associate Agreement with you, and Loqui will not sign a BAA in connection with the consumer Service. A clinical tier with HIPAA Mode and BAA support is in development; if your use case requires HIPAA compliance, join the clinical waitlist and do not use the consumer Service.
We reserve the right to terminate accounts that we determine, on reasonable evidence, are being used to record PHI.
4. Recording consent and compliance
You are solely responsible for complying with all laws governing recorded conversations in your jurisdiction.
Recording laws vary widely. Some U.S. states (“two-party consent” states) require all parties to a conversation to consent before recording. Many countries outside the United States have similar or stricter requirements. By using Loqui, you affirm that:
- You will obtain the consent of all parties to a recording where required by law.
- You understand Loqui does not notify other parties that a recording is in progress.
- You will not use Loqui to record any conversation in violation of applicable law.
- You will not use Loqui to record children, vulnerable adults, or any party without proper authority.
We provide general guidance on recording consent at /legal/recording, but that guidance is not legal advice and is not a substitute for consulting an attorney or local authority. You bear sole responsibility for the legality of your recordings.
5. Account registration
To use most features of the Service, you must create an account. You agree to provide accurate information and to keep your account credentials secure. You are responsible for activity under your account. You must be at least 18 years old to create an account. We may suspend or terminate accounts that we believe are being used in violation of these Terms.
6. Subscriptions, billing, and refunds
Loqui offers a free tier and paid subscription tiers. Paid subscriptions are billed through the Apple App Store (iOS) or Google Play (Android). Loqui does not process payments directly and does not have access to your payment instrument.
Auto-renewal. Subscriptions auto-renew at the same price unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your App Store or Google Play subscription settings.
Refunds. Refund requests are handled by Apple or Google in accordance with their respective policies. Loqui does not have authority to issue refunds directly. Visit reportaproblem.apple.com (iOS) or play.google.com/store/account/subscriptions (Android) to request a refund.
Price changes.We may adjust subscription prices with at least 30 days’ notice via email and an in-app notice. If you do not agree to the new price, you may cancel before the change takes effect.
Free tier and bonus minutes. The free tier and any bonus-minute promotions are offered at our discretion and may be modified or discontinued at any time. Once consumed, bonus minutes are not refundable.
Fair use (Unlimited tier). The Unlimited tier is subject to a fair-use cap of 6 hours per single recording to prevent runaway usage. Sustained use that materially exceeds the typical patterns of any subscription tier may result in a request to upgrade or, in extreme cases, suspension.
7. User content
You retain all rights in the recordings you create, the transcripts produced from them, and any related content (collectively, “User Content”). You grant Loqui a limited, non-exclusive, royalty-free license to process User Content solely for the purpose of providing the Service to you — namely, transcribing audio, generating summaries, and writing the result to your cloud storage. This license terminates when the relevant content is deleted or when your account is deleted, whichever is later.
You represent and warrant that you have the right to record, process, and use the audio you submit to the Service.
8. Acceptable use
You agree not to:
- Use the Service to record any conversation you do not have the legal right to record.
- Use the Service to record Protected Health Information (see Section 3).
- Use the Service to harass, defame, threaten, or harm any person.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Bypass, disable, or attempt to bypass any usage limit, rate limit, or security measure.
- Use the Service to transmit malware or any unlawful, fraudulent, or infringing content.
- Use automated tools to access the Service in a manner that imposes a disproportionate load.
- Resell, sublicense, or otherwise commercialize the Service or its output in a way that competes with Loqui.
9. Intellectual property
The Service — including the Loqui app, website, brand, design, and all underlying software — is owned by Loqui and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted by implication.
10. Third-party services
The Service relies on third-party providers, including but not limited to AssemblyAI, Anthropic, Supabase, RevenueCat, Sentry, Resend, Apple App Store, Google Play, Google Drive, Apple iCloud, Meta Platforms (for ad attribution, only when the user grants App Tracking Transparency consent), and Vercel. Use of those services may be subject to their own terms. Loqui is not responsible for the availability, accuracy, or content of third-party services. A current list of subprocessors is maintained in our privacy policy.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THE ACCURACY OR COMPLETENESS OF TRANSCRIPTIONS OR AI-GENERATED SUMMARIES.
Transcriptions are produced by an automated speech-recognition system and may contain errors. Summaries and action items are produced by a large language model and may contain errors, omissions, or fabricated content. You should not rely on Loqui output as the sole record of any conversation in which accuracy is critical, including but not limited to medical, legal, financial, or contractual matters. Always review the transcript before relying on it.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOQUI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; LOSS OF GOODWILL; OR ANY DAMAGES ARISING FROM:
- The use of the Service or inability to use the Service.
- Errors or omissions in transcripts, summaries, or other AI-generated output.
- Your violation of recording-consent laws or the PHI restriction.
- Unauthorized access to or alteration of your data.
- The conduct of other users.
LOQUI’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LOQUI IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of certain warranties or liability for incidental or consequential damages, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Loqui and its officers, employees, and agents from any claim, damage, liability, or expense (including reasonable attorneys’ fees) arising out of:
- Your violation of these Terms, including the PHI restriction in Section 3 and the recording-consent obligations in Section 4.
- Your User Content.
- Your violation of any law or third-party right.
14. Termination
You may stop using the Service at any time by deleting your account from within the app or by writing to privacy@useloqui.com. We may suspend or terminate your account if you violate these Terms or if we are legally required to do so. On termination, your access to the Service ends and your account metadata is removed within 30 days. Sections that by their nature should survive termination — including intellectual property, disclaimers, liability limits, indemnification, and governing law — survive.
15. Modifications to the Terms
We may revise these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent change. For material changes, we will provide 30 days’ notice via email and an in-app notice before the change takes effect. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought in the state or federal courts located in Delaware, and you consent to the exclusive personal jurisdiction of those courts.
For users in the European Economic Area, the United Kingdom, or other jurisdictions where applicable consumer law gives you the right to bring a claim in your local courts, this section does not override those rights.
17. Miscellaneous
- Entire agreement. These Terms, together with the privacy policy and any policy referenced herein, constitute the entire agreement between you and Loqui regarding the Service.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- No waiver. Loqui’s failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment.You may not assign these Terms without Loqui’s written consent. Loqui may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to the email address on your account. Notices to Loqui should be sent to legal@useloqui.com.
